Terms and Conditions

1. Parties & Scope

  • Agency: Bella Visual Boost.
  • Client: The individual or entity contracting SEO and/or 2D animation services.

2. Service Offer & Acceptance

  • Publication of terms or inclusion in quotes/e‑invoices constitutes an offer.
  • Agency deliverables and timelines are specified in the Proposal or Statement of Work (SOW).
  • Acceptance occurs when the Client confirms and/or pays, with the “clickwrap” checkbox indicating agreement.

3. Client Obligations

  • Provide timely feedback, access to assets (website CMS, brand guidelines), and necessary materials within the agreed timeframe.

4. Fees & Payment

  • Refer to SOW for rates (e.g., monthly SEO fees, project-based animation).
  • For animation: standard structure—50% deposit, 50% on completion.
  • For SEO: monthly billing or per milestone. Late payments may incur interest or service suspension.

5. Revisions & Modifications

  • Animation: include an unlimited number of revision rounds.
  • SEO: scope or timeline changes require Client agreement and may affect fees.

6. Guarantees & Outcomes

  • Clear no guarantee policy (especially for SEO rankings). Emphasize best-effort service.

7. Intellectual Property

  • SEO content and deliverables transfer to Client upon full payment.
  • Animation: final videos are delivered and licensed to the Client upon payment; source files may remain Agency’s property unless otherwise stated.

8. Confidentiality

  • Both parties agree to protect each other’s confidential information.
  • Agency may showcase past work in its portfolio unless the Client opts out.

9. Limitation of Liability

  • Agency isn’t liable for indirect, incidental, or consequential damages. Liability limited to total fees paid.

10. Term & Termination

  • Agreement effective upon acceptance; continues until completion or terminated per notice terms.
  • Polish law governs, with standard 1–3 month notice periods for contracts of indefinite duration.
  • Immediate termination for material breach.

11. Force Majeure

  • Neither party liable for delays or failures due to circumstances beyond reasonable control (e.g., natural disasters, infrastructure failure).

12. Governing Law & Dispute Resolution

  • Governed by Polish law. Disputes resolved via courts in your jurisdiction or mediation/arbitration, if preferred.
